Terms of Service

Welcome to Nasmade — a marketplace that connects brands and businesses (Companies) with vetted user-generated content creators (Creators) across the MENA region. These Terms of Service (Terms) govern your access to and use of the Nasmade website, applications, and related services (collectively, the Service). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The agreement
These Terms form a binding agreement between you (you or User) and Nasmade (Nasmade, we, us, or our). They apply to all visitors, registered users, and parties using the Service in any capacity, including Companies, Creators, and any agents acting on their behalf.
2. Definitions
- Platform — the Nasmade website, applications, dashboards, and related services.
- Company — a business, brand, agency, or its representative that creates Briefs and engages Creators through the Platform.
- Creator — an individual who offers content production services through the Platform.
- Brief — a written commission request submitted by a Company describing scope, deliverables, deadlines, permitted Iterations, intended use, and budget.
- Asset — any deliverable (video, image, audio, or other content) produced by a Creator pursuant to a Brief.
- Iteration — a revision round on an Asset based on Company feedback, subject to the limit stated in the Brief or in the Creator's published terms for that engagement.
- Approval — the formal acceptance of an Asset by the Company through the Platform.
3. Eligibility & accounts
You must be at least 18 years old and have the legal capacity to enter into binding contracts in your jurisdiction. You must provide accurate, current, and complete information when you register, and keep that information up to date.
You are responsible for safeguarding your credentials and for any activity under your account. You may not share, transfer, or sell your account. We may suspend or terminate accounts at our sole discretion for violations of these Terms or for any lawful reason.
4. Our role as a marketplace
Nasmade is a venue: we provide tools that allow Companies and Creators to find one another, agree on terms, exchange Assets, and process payments. Each engagement is a direct contract between the Company and the Creator on the terms set out in the Brief and these Terms. Nasmade is not a party to that contract, does not produce Assets, and does not guarantee the quality, accuracy, legality, or timeliness of any Asset or any User's conduct.
5. How the marketplace works
5.1 Brief creation
Companies submit Briefs describing the Asset they want to commission, including scope, deliverables, format, deadline, permitted Iterations, intended use, and proposed compensation. A Brief is binding on the Company once a Creator accepts it.
5.2 Creator engagement
Companies select Creators based on profiles, samples, ratings, and rates. Once both parties accept a Brief, the engagement is in effect.
5.3 Production and delivery
The Creator produces the Asset and uploads it to the Platform. Communications, file exchange, and version history must take place within the Platform so that an auditable record exists in the event of a dispute.
5.4 Review and Iterations
The Company reviews the uploaded Asset within the Platform. The number of permitted Iterations is governed by the Brief or by the Creator's published terms for that engagement. Where an Asset already meets the Brief, the Company may not withhold Approval to extract additional Iterations. Requests beyond the permitted limit may be subject to additional fees agreed separately between the parties.
5.5 Approval
Approval is given when the Company clicks the “Approve” control on the Platform, downloads the final Asset, or uses the Asset in any public-facing way. Approval is final and cannot be revoked except in the case of verifiable fraud or material breach by the Creator.
5.6 Payouts
Following Approval, Nasmade releases the agreed compensation to the Creator, less any applicable platform fees. We aim to process payouts within a reasonable period — typically by the end of the calendar month following Approval — but this timeframe is indicative only and Nasmade does not guarantee any specific payout date. Nasmade may delay or hold a payout where required by applicable law, fraud-prevention checks, tax or regulatory obligations, or an active dispute.
5.7 Off-platform conduct
Once introduced through the Platform, Companies and Creators agree not to circumvent Nasmade by transacting outside the Platform for matters arising from that connection. We reserve the right to suspend accounts and seek recovery of fees lost as a result of off-platform circumvention.
6. Fees
Nasmade may charge a service fee on transactions, deducted from the Creator's payout, added to the Company's billing, or both. The applicable fee schedule is shown in your dashboard before you confirm a transaction. We may adjust fees from time to time; changes affect engagements created after the change takes effect.
7. Intellectual property
7.1 Pre-Approval
Until Approval and full settlement of the agreed compensation, all rights in the Asset (including drafts and intermediate Iterations) remain with the Creator. The Company has no right to use, reproduce, or distribute pre-Approval material outside the review tools provided on the Platform.
7.2 Post-Approval license
On Approval and full settlement, the Creator grants the Company a license to use the Asset for the purposes set out in the Brief. The scope, exclusivity, territory, and duration of that license are determined by the Brief; if the Brief is silent, the license is non-exclusive, worldwide, and perpetual for the Company's direct marketing use, with no right to sub-license, resell, or assign without the Creator's written consent.
7.3 Creator warranties
Creators warrant that they own or have licensed all rights required to deliver the Asset (including rights in talent, music, locations, and any third-party material), and that the Asset does not infringe any third party's rights or violate any applicable law.
7.4 Platform marks
“Nasmade”, our logos, and other Platform marks are our property. You may not use them without our written permission, except to factually describe your use of the Service.
8. Acceptable use
You agree not to:
- Upload unlawful, infringing, defamatory, deceptive, sexually explicit, or harmful content, or content that violates any applicable advertising or broadcast standard.
- Misrepresent your identity, affiliation, or rights in submitted material.
- Attempt to bypass payment, identity-verification, or fraud-prevention systems, or coordinate Iterations or ratings in bad faith.
- Use the Platform to harass, threaten, or discriminate against any person, or to send unsolicited commercial communications.
- Scrape, copy, reverse-engineer, or reuse Platform data outside the Service's intended use, including for the purpose of building a competing product.
9. Disputes
9.1 Direct resolution
Companies and Creators are encouraged to resolve disagreements directly using the Platform's communication tools.
9.2 Nasmade's role
Where a dispute cannot be resolved directly, Nasmade may, at its discretion and as a non-binding facilitator, review evidence available on the Platform — including the Brief, uploaded versions, and the parties' messages — and propose a resolution. We are not a court, arbitrator, or representative of either party.
9.3 Iteration compliance
Where a Creator has delivered an Asset that meets the Brief and has performed within the Iteration limits agreed at the time of engagement, the Creator is entitled to payout. Subjective dissatisfaction by the Company with an Asset that materially meets the Brief is not, on its own, grounds to withhold Approval, payout, or to claim a refund.
9.4 Refunds
Refund requests are evaluated case-by-case. Approval (including by download or public use) is final and is not subject to refund except for verifiable fraud, material non-conformance with the Brief, or where Nasmade in its sole discretion determines a refund is warranted.
10. Your content & feedback
You retain ownership of the content you upload (Briefs, Assets, messages). You grant Nasmade a worldwide, non-exclusive, royalty-free license to host, store, transmit, and display that content as needed to operate the Service, and to use anonymized and aggregated data derived from it for analytics and product improvement. Feedback you send us about the Service may be used by us without restriction or compensation.
11. Disclaimers
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Nasmade disclaims all warranties of any kind — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. We do not warrant that the Service will meet your requirements or that any Asset will achieve any particular commercial result.
12. Limitation of liability
To the maximum extent permitted by law, Nasmade is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with these Terms or the Service. Nasmade's total aggregate liability for any claim arising from or relating to the Service shall not exceed the greater of (a) the total fees you paid to Nasmade in the twelve months preceding the event giving rise to the claim, or (b) USD 100.
13. Indemnification
You agree to defend, indemnify, and hold harmless Nasmade and its officers, employees, and partners from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (i) your use of the Service, (ii) your content, (iii) your breach of these Terms or any law, or (iv) your violation of any third party's rights.
14. Suspension & termination
We may suspend or terminate your access to the Service at any time for breach of these Terms or for any lawful reason. You may close your account at any time from your dashboard. Sections that by their nature should survive termination — including ownership, fees owed, IP, disclaimers, liability, indemnity, and governing law — survive.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email or through an in-product notice before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
16. Governing law & jurisdiction
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-laws rules. The courts of Dubai shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, unless mandatory local law provides otherwise.
